These Terms & Conditions (“Terms”) govern the use of services provided by Northstone Agency Ltd (“Northstone”, “we”, “our” or “us”).

By engaging Northstone for services, using our website or making payment for any project or service, you agree to these Terms.

Northstone provides digital services including but not limited to:

  • AI workflow support,
  • branding,
  • SEO-related services,
  • hosting,
  • content support,
  • and related digital consulting.

Project scope and deliverables will be agreed before work begins.

3. Payments

Low-Budget Projects

For lower-cost website or setup projects, payment is required in full before work begins unless otherwise agreed in writing.

Larger Projects

For larger projects, Northstone may request staged payments, including deposits and milestone payments.

All invoices must be paid within the stated payment terms.

Failure to pay may result in:

  • paused work,
  • delayed delivery,
  • suspension of services,
  • or removal of hosted systems where applicable.

4. Refund Policy

Due to the time, planning and development involved in digital services, refunds are not provided once work has commenced.

If a project is cancelled after work has started:

  • completed work,
  • planning,
  • strategy,
  • designs,
  • development time,
  • and related hours

remain chargeable.

Any refunds offered are entirely at Northstone’s discretion.

5. Revisions

Unless otherwise agreed, projects include:

  • up to 2 rounds of revisions.

Additional revisions, changes outside agreed scope or major redesign requests may incur additional charges.

Northstone reserves the right to determine whether requested changes fall within the original agreed scope.

6. Client Responsibilities

Clients are responsible for providing:

  • content,
  • images,
  • branding assets,
  • login access,
  • approvals,
  • and required information

within reasonable timeframes.

Delays in providing materials may affect project timelines.

If content is not provided, Northstone may use placeholder content to complete development and revisions will still count toward the included revision rounds.

Clients are responsible for ensuring they have the rights to any materials supplied to Northstone.

7. Timelines & Delivery

Northstone aims to provide first drafts or initial progress within agreed timeframes where reasonably possible.

However, timelines may vary depending on:

  • project complexity,
  • client responsiveness,
  • third-party delays,
  • or scope changes.

Estimated timelines are not legally guaranteed deadlines.

8. Hosting & Maintenance

Clients may choose to:

  • host websites independently,
  • or use Northstone hosting services where available.

Hosting, maintenance and support plans may involve recurring monthly fees.

Failure to pay hosting or maintenance fees may result in:

  • suspension of services,
  • website downtime,
  • or removal of hosted systems after reasonable notice.

9. Third-Party Platforms

Northstone may utilise third-party services including:

  • hosting providers,
  • CRM systems,
  • automation platforms,
  • AI tools,
  • APIs,
  • analytics tools,
  • and software integrations.

While we aim to use reliable platforms, Northstone is not responsible for:

  • third-party outages,
  • software changes,
  • pricing changes,
  • platform limitations,
  • or service interruptions outside our control.

10. AI & Automation Disclaimer

Northstone may implement AI-assisted tools, workflows and automations to support operational efficiency.

Clients understand that:

  • AI systems may occasionally produce inaccurate or unexpected outputs,
  • automations rely on third-party systems,
  • and human oversight remains important.

Northstone does not guarantee uninterrupted or error-free AI functionality.

11. Intellectual Property

Upon full payment, clients receive ownership of final agreed website and design deliverables unless otherwise stated.

Northstone retains the right to:

  • showcase completed work in portfolios,
  • use projects for marketing purposes,
  • and reference work publicly unless otherwise agreed.

Any unpaid work remains the property of Northstone.

12. Limitation Of Liability

Northstone is not liable for:

  • indirect losses,
  • loss of profits,
  • business interruption,
  • data loss,
  • or damages resulting from third-party platforms or services.

Clients are responsible for reviewing and approving all final deliverables before launch.

Northstone’s total liability is limited to the amount paid for the relevant service.

13. Termination

Northstone reserves the right to terminate services where:

  • abusive behaviour occurs,
  • payment terms are breached,
  • communication becomes unreasonable,
  • or project requirements fundamentally change.

Clients may also terminate projects in writing, however completed work and time spent remain chargeable.

14. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
